Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Intellivisiom Services ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Intellivisiom Services provides business process outsourcing (BPO) and call center services, including but not limited to:

  • Inbound customer support services
  • Outbound sales and lead generation
  • Back-office operations and administrative support
  • Virtual assistant services
  • Omnichannel customer support
  • Workforce management solutions

3. Service Agreement

Specific terms for each service engagement will be outlined in a separate Service Agreement or Statement of Work (SOW). In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for that specific engagement.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Ensure timely payment of all fees and charges
  • Comply with all applicable laws and regulations
  • Provide necessary training materials and documentation
  • Maintain confidentiality of login credentials and access information
  • Notify us promptly of any changes affecting service delivery

5. Payment Terms

Payment terms will be specified in your Service Agreement. Generally:

  • Invoices are due within 30 days of receipt unless otherwise specified
  • Late payments may incur additional charges
  • Services may be suspended for non-payment after proper notice
  • All fees are non-refundable unless otherwise agreed in writing

6. Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to:

  • Maintain strict confidentiality of all client information
  • Use information solely for providing agreed services
  • Implement appropriate security measures to protect data
  • Return or destroy confidential information upon request
  • Comply with applicable data protection regulations

7. Data Protection and Security

We are committed to protecting your data and maintaining compliance with applicable data protection laws, including GDPR, CCPA, and HIPAA where applicable. Our security measures include:

  • Encryption of data in transit and at rest
  • Regular security audits and assessments
  • Employee background checks and training
  • Secure facilities and access controls
  • Incident response and breach notification procedures

8. Service Level Agreements

Service levels, performance metrics, and quality standards will be defined in your specific Service Agreement. We strive to meet or exceed all agreed-upon service levels and will provide regular reporting on performance metrics.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees paid for services in the 12 months preceding the claim
  • We shall not be liable for indirect, incidental, or consequential damages
  • We shall not be liable for damages resulting from client's failure to follow procedures
  • Force majeure events shall excuse performance delays or failures

10. Intellectual Property

Each party retains ownership of their respective intellectual property. Any work products created specifically for you under our services shall be owned by you, subject to our right to use general knowledge and experience gained.

11. Termination

Either party may terminate services:

  • With 30 days written notice for convenience
  • Immediately for material breach after notice and opportunity to cure
  • Immediately for insolvency or bankruptcy

Upon termination, we will assist with transition and return of client materials as specified in the Service Agreement.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation if negotiations fail
  • Binding arbitration as a final resort

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles. Any legal proceedings shall be conducted in the courts of [Jurisdiction].

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to clients with reasonable notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
